When you first embark on a small business, one must consider many factors. In addition to the considerations of every new business like where to locate your office, to what office furnishings to buy or lease, to how much capital you will need during the first year or so. Deciding the best course of action for all of these things is very demanding, especially if you have partners that may have an opposing viewpoint.

Speaking of partners, the type of company you create will have a major impact on the future decisions of your company. Your options are typically a corporation, a limited liability company, a partnership, or a sole proprietorship. There are benefits and drawbacks to each of these. With a limited liability company, or an LLC for short, each investor or owner of the company is limited in their liability to the amount of their investment. To clarify, this means that their personal property like homes, automobiles, and even cash are protected and separate from that of the company. This is essentially the exact opposite of the sole proprietorship where an individual is solely responsible for the actions of the company. In this case, the owner of the business need not even file a separate tax return.

In a partnership, the owners are jointly and severally liable, meaning if any of the partners do not have enough money or assets to pay an equal share of any judgment, the other partners must make up the difference. This is essentially like a sole proprietorship, but with you taking the responsibility for the actions of others.

With a corporation, there is the issue of double taxation, where the income of the company is taxed and the income of the operators of the company is taxed separately. A corporation offers good protection of personal assets, but unless your enterprise is of large scale, it is usually best to go with an LLC.

When I opened my small business, a computer consulting firm, in 2007, I decided to form a limited liability company. The format fit our business needs and was relatively simple to start. We obtained the necessary paperwork from a legal forms website and filed our documents with the secretary of state. We were up and running inside of a month and have never looked back.

After we were official with the state and chose our place of business, we furnished our office. Then we had to turn toward matters that pertained more to our day-to-day operations. I personally ordered our laptop and desktop computers, choosing to purchase rather than lease. I then negotiated a contract with a data recovery firm to back up our data nightly, which I highly recommend. This insulates us to only losing a maximum of one day’s worth of information. If your business needs a more frequent back up, and can afford it, don’t hesitate to spend money on it. I also recommend you ask the data company about recovery options in case of disaster or damage. I know I never want to lose my records!

Once all that was done, we focused on getting and retaining clients that could use our expertise. It’s been great being my own boss, although it does have its challenges. I wish you luck in establishing your business.
